This site is for use by authorized partners of Coinstar, LLC. By accessing, downloading or using any of the images, brand guidelines or other materials available for download on this site (“Coinstar Marketing Materials”) you agree to the following terms (the “Agreement”):
- License Grant and Use. Subject to your compliance with this Agreement, Coinstar grants you a non-exclusive, non-transferable, royalty-free, revocable license to use the Coinstar Marketing Materials solely in connection with the marketing, advertising and promotion of the Coionstar brand kiosks and services furnished to you by Coinstar. In the use of the Coinstar Marketing Materials, you will: (a) comply with the usage guidelines and other instructions specified by Coinstar; and (b) not use the Coinstar Marketing Materials in any manner that reflects unfavorably on Coinstar or that is likely to create confusion as to the source of origin. Coinstar has the right to review and approve any use the Coinstar Marketing Materials and may terminate this license to you at any time by providing notice to you.
- Ownership of Rights. Except for the limited license granted in section 1, Coinstar retains all right, title and interest in and to the Coinstar Marketing Materials, including all trademark and other proprietary rights therein and all goodwill associated therewith. All use of the Coinstar Marketing Materials, inducing without limitation all trademarks therein, inures solely to the benefit of Coinstar.
- DISCLAIMER AND LIMITATIONS OF LIABILITY. THE COINSTAR MARKETING MATERIALS ARE PROVIDED AS-IS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, INCLUDING ANY REPRESENTATION OR WARRANTY AS TO THE VALIDITY OF COINSTAR’S RIGHTS IN ANY COUNTRY. COINSTAR WILL NOT BE LIABLE TO YOU FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND COINSTAR’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED $100.
- Indemnity. You agree to indemnify, defend and hold Coinstar harmless from and against any claim threatened against or brought against your use of the Coinstar Marketing Materials in violation of this Agreement (unless Coinstar in its sole discretion chooses to retain control over the defense and/or settlement of such claim).
- General. Sections 2, 3, 4 and 5 will survive any termination of this Agreement. This agreement will be construed in accordance with, and all disputes hereunder will be governed by, the laws of the State of Washington, without giving effect to its conflict of laws principles to the contrary. Unauthorized or improper use of the Coinstar Marketing Materials will result in irreparable damage to Coinstar for which is there no adequate remedy at law. If you fail to comply with this Agreement, Coinstar will be entitled to injunctive relief, in addition to other rights and remedies provided by law or contract. In the event of a conflict between the terms of this Agreement and any Coin Kiosk Installation Agreement will govern with respect to Coinstar Marketing Materials, the terms of the Coin Kiosk Agreement will govern.
